Ise Valley Vagabonds
ARTICLE 1 Name and Headquarters
1) The name of the organisation is the “Ise Valley Vagabonds” (Ise VV)

3) The organisation was formed in June 1988
4) The first formal meeting was held on June 10th 1988
ARTICLE 2 Purpose of the Organisation
1) The organisation is a member of the British Walking Federation (BWF)
and, through this, a member of the International Federation of Popular
Sport (IVV).
2) The aims of the organisation are:-
I) to support and help with the planning, organisation
and marshalling of the Waendel Walk
ii) to promote and encourage a programme of non-competitive
walking, cycling and swimming events
iii) to encourage participation in similar events organised
by other similar bodies - both in the UK and abroad.
iv) to contribute towards understanding among people by fostering
international friendship through non-competitive sport.
v) to encourage and promote the award scheme run by the
IVV
3) The organisation has no political, ideological or racial bias.
4) The organisation is non-profit making. Any profits which may
accrue as a result of activities and which are not used to promote the
further activities of the Ise VV shall be donated to a charitable cause.
ARTICLE 3 Membership
1) Membership is to be based on personal application
2) The Committee is empowered to exercise the right of veto over any
membership application.
3) There shall be five classes of membership:-
i) Full Membership: Annual Individual.
ii) Annual Family, (2 adults and children under 18 years of age of
either adult).
iii) Life Membership. This may be purchased for a single payment
on an individual basis
(Should the club cease to operate at some future date,
Life Members will have the option of the return of
their fees or having them donated to a charity of
their choice).
iv) Honorary Membership. Any person may be elected as an Honorary
Member.
v) Temporary Membership to be made available at walks, to non-members
to enable them to participate in the walk as a member. Such temporary membership
be valid for the day of the walk only and shall automatically expire at
the end of the day concerned.
4) All categories of membership will have identical rights except that first refusal of any perquisites which may be available from time to time will be offered to Life Members, then to Full Members then to Honorary Members, and then to Temporary Members.
ARTICLE 4 Expiration of Membership
1) Membership of the organisation will terminate:-
i) upon dissolution of the Ise Valley Vagabonds
ii)
Membership will be deemed to have lapsed, if, after three calendar months from
the start of the Club year [January the first], subscriptions have not been
paid, or contact not made with the Membership Secretary.
iii) upon expulsion
2) A member may be expelled for:
i) deliberate actions which damage the interests of the Ise Valley
Vagabonds
ii) failing to pay dues within three months
from the
start of the Club year [January the first].
[Re-admission following (i) above will not be considered
for a minimum of two years and must be approved
by a majority vote at the next Annual General Meeting.
Re-admission following (ii) will involve either payment of outstanding
dues (if less than twelve months has elapsed)
or re-application as a new member (if more than twelve months has elapsed).
ARTICLE 5 Meeting and Events
1) The Annual General Meeting shall be the main business meeting
of the Ise Valley Vagabonds
2) The Annual General Meeting shall normally be held sometime in April
3) Spare
4) Each member in compliance may exercise one vote at the AGM.
Family member may exercise only one vote at the AGM.
5) The Committee of the Ise Valley Vagabonds shall meet as often as
is deemed necessary in the course of the year and shall account to the
membership at each Annual General Meeting.
6) The organisation will organise events regularly, consistent with
its aims and objectives encouraging individual members to undertake the
responsibility for making the necessary arrangements.
7) All events will conform to the standards laid down by the International
Federation of Popular Sport and the British Walking Federation.
ARTICLE 6 Dues and Levies
1) The organisation requires funds to fulfil its financial obligations
to the BWF and to produce and distribute the
“Vagabond Times”.
2) Membership fees will be kept to a minimum, consistent with the financial
obligations.
3) The level of fees for family membership is £6.00 per annum,
individual member £3.00 per annum and temporary membership £0.25
per walk until such time as it is changed by members at the AGM.
Life Membership will involve a single payment of £40.00
and will endure for the natural life of that individual (The “single payment”
may be spread over a period of three months by arrangement with the Treasurer).
3a) The Officers of the club, as defined in ARTICLE 8 clause 1, shall
be exempt from paying membership subscriptions for the years following
their election and whilst they continue in post.
4) The membership year will run from 1st January to 31st December.
ARTICLE 7 Administration of the Organisation
The day to day administration will be carried out by the elected officers
and committee of the organisation.
ARTICLE 8 Officers and Committee
1) The Committee of the Ise Valley Vagabonds shall comprise:-
Chairman, Secretary, Membership Secretary, Treasurer, Publicity
Officer, Materials Officer, Events Co-ordinator,
at least one “ordinary” Committee Member.
Any serving Committee Member may be invited to become the President
of the Ise Valley Vagabonds.
2) Any Committee Member may hold two or more offices concurrently.
3) Each member of the Committee will have an equal vote.
4) In the event of any equal vote being cast for and against a specific
motion, the membership will be circulated to reach a majority decision
- unless shortage of time makes this impractical.
5) The Committee is quorate when at least half of its members are present.
6) Elected members of the Club Committee will not be eligible for nomination
to receive annual Club Awards which are related to service the Club.
They will, however, be eligible to compete for any awards which may be
instituted, based on walking achievements.
7) Officers term of duty to be three years. Termination of office will
be by way of an E.G.M or resignation.
ARTICLE 9 Compensation for Expenses
1) All positions in the organisation are honorary and without salary
2) All members, committee or otherwise, may claim for reimbursement
of out-of-pocket expenses provided that they are incurred solely and entirely
for the benefit of the Club and are approved by the Committee, subject
to the production of appropriate receipts.
ARTICLE 10 Accounting Audit
1) The accounts of the Ise Valley Vagabonds will be audited annually
by an auditor who may be proposed by the Treasurer, but must be approved
by the Committee.
2) A copy of the audited accounts will be presented at each Annual
General Meeting
ARTICLE 11 Fiscal Year
The Fiscal Year is the same as the Tax year - i.e. 6th April to 5th
April
ARTICLE 12 Dissolution of the Ise Valley Vagabonds
1) The Ise Valley Vagabonds may only be dissolved following a majority
vote to a formal proposal lodged not less than 28 days before, to that
effect, at either an Annual General Meeting or at an Extraordinary General
Meeting called for that purpose.
2) Any funds remaining to the credit of the Ise Valley Vagabonds following
dissolution, after all outstanding debts have been met, shall be transferred
to Nene Valley Physically Handicapped and Able-Bodied Club.
ARTICLE 13 Concluding Article
1) Any matter not covered by the preceding twelve articles will be
subject to the Articles of Association of the International Federation
of Popular Sports.
2) The Committee is empowered to arbitrate and proceed with any matter
not satisfactorily resolved.
